Dated Agreement date, between Disclosing party (the "Disclosing Party") and Receiving party (name) (the "Receiving Party").

1. PURPOSE 1.1. The Disclosing Party will share confidential information with the Receiving Party for the purpose of: Purpose of disclosure. 1.2. Confidential information means any technical, commercial, financial or other information marked as confidential or that is confidential by its nature. 1.3. Information is not confidential if it: is or becomes public through no fault of the Receiving Party; was already known to it before disclosure; was lawfully received from a third party; or must be disclosed under a binding request of a competent authority or court.

2. OBLIGATIONS OF THE RECEIVING PARTY 2.1. Not to disclose confidential information to third parties without prior written consent of the Disclosing Party. 2.2. To use confidential information solely for the purpose stated in clause 1.1. 2.3. To protect confidential information with the same degree of care used for its own, but no less than a reasonable standard of care. 2.4. On the Disclosing Party's request, and in any case when the work ends, to return or destroy all media and copies of confidential information, including electronic exports, and to confirm this in writing.

3. TERM 3.1. The obligations under this Agreement remain in effect for: Confidentiality period.

4. LIABILITY 4.1. Breach of this Agreement shall be remedied as established by applicable law. 4.2. The Receiving Party shall compensate in full the losses caused by disclosure or improper use of confidential information.
