4. RELATIONSHIP OF THE PARTIES AND OTHER TERMS 4.1. This Agreement does not create an employment relationship — the Contractor is not entitled to employee benefits (paid leave, sick pay, etc.). The parties shall structure their relationship in compliance with applicable law to avoid misclassification as employment. 4.2. Upon full payment of the fee, all intellectual property rights in the deliverables created under this Agreement pass to the Client to the extent permitted by applicable law. The Contractor warrants that the deliverables do not infringe third-party rights. 4.3. The Contractor shall not disclose information about the Client's business, customers, suppliers and prices learned in the course of the work, during the term of this Agreement and after it ends.
